These Terms and Conditions (“Agreement”) govern all services provided by Ronin Creative, LLC (“RC”) to the Client. By engaging RC and paying a deposit, the Client agrees to these terms.

Commencement of Work

Project work begins after RC receives a signed proposal or written approval and any required deposit. Submission of materials or payment constitutes agreement to these terms.

Payment Terms

A 50% deposit is required for all projects exceeding 20 hours.
• Remaining balance is due before delivery of final files.
• Deposits are non-refundable once work begins.
• For multi-month projects, progress payments may be billed monthly.
• Late payments accrue 1.5% interest per month or the maximum allowed by law.
RC reserves the right to suspend work until overdue invoices are settled.

Overtime and Rush Orders

Requests for accelerated schedules may result in additional fees for overtime or supplier surcharges.

Project Holds and Cancellations

If a project is placed on hold for more than 30 days without communication, RC may issue a final invoice for completed work. If cancelled by the client after work has begun, the deposit is non-refundable and additional time will be billed at the hourly rate.

Ownership and Copyright

RC retains ownership of all design concepts and materials until full payment is received. Upon payment, copyright for the final approved deliverables transfers to the client. Unused concepts, drafts, and proprietary assets remain property of RC. RC retains the right to display completed work in its portfolio unless requested otherwise in writing. For 3D printed or digital files, RC grants a non-commercial personal use license unless otherwise stated.

Client Responsibilities

Clients must proof and approve all work before production. RC is not liable for errors after approval or for variations in color, materials, or print appearance. Clients must ensure all provided materials do not infringe on third-party rights.

Revisions and Additional Work

Work beyond the original scope (e.g., new pages, redesigns, or extra file formats) will be billed at the hourly rate. Written approval is required before additional work begins.

Liability

RC’s liability is limited to the total fees paid for the project. RC is not responsible for indirect, consequential, or economic loss. RC will not be liable for delays caused by suppliers, third-party vendors, or force majeure events.

Confidentiality

RC and its contractors agree to maintain strict confidentiality regarding all client materials, except where disclosure is required by law.

Termination

Either party may terminate this agreement with written notice. The client remains responsible for all work completed up to the termination date. If RC cancels a project, any unused deposit will be refunded in full.

Contractors

All contractors or freelancers engaged by RC are bound by non-disclosure and non-solicitation agreements for a minimum of 36 months.

Data & Privacy

Client information is stored securely and used solely for communication and billing purposes. RC complies with standard data-protection practices and will not sell or share client information.

Force Majeure

RC is not liable for failure to perform due to events beyond its reasonable control, including natural disasters, war, strikes, or power outages.

Digital Product License

For digital downloads and 3D print files, RC grants a personal-use-only license. Files may not be resold, redistributed, or used commercially without written consent.

Amendments

These terms may be updated periodically. The latest version will always be available upon request or posted on the RC website.
